1. Acceptance of Terms
These Terms & Conditions ("Terms") govern access to and use of Inbound Underwriting (the "Service"), operated by Inbound Underwriting ("we," "us," or "our"). By creating an account, uploading documents, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Inbound Underwriting provides software that uses artificial intelligence to extract financial data from commercial real estate documents (including Offering Memoranda, T-12 operating statements, rent rolls, and institutional Private Placement Memoranda) and generates underwriting models and exports from that extracted data. The Service is a tool to assist underwriting and due diligence — it does not provide investment, legal, tax, or financial advice, and its output should be independently verified before being relied upon for any transaction or decision.
3. Accounts and Eligibility
You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity that occurs under your account. Accounts are issued per organization; team members added by an organization administrator are subject to that organization's subscription plan and usage limits.
4. Acceptable Use
You agree not to: upload documents you do not have the right to process; attempt to reverse-engineer, scrape, or circumvent usage limits of the Service; use the Service to build a competing product; or use the Service in a way that violates applicable law. We reserve the right to suspend accounts that violate this section.
5. Your Content and Data
You retain all ownership rights to the documents you upload and the data they contain. You grant us a limited license to process that content solely for the purpose of providing the Service to you — extracting data, generating exports, and maintaining your account history. 6. Subscription, Fees, and Trials
Paid plans are billed according to the plan selected at signup or as agreed in a separate order form. Trial accounts are subject to the usage limits and expiration period disclosed at signup. Fees are non-refundable except where required by law or expressly stated otherwise in a signed agreement.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AI-GENERATED EXTRACTIONS MAY CONTAIN ERRORS; YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL FIGURES BEFORE RELYING ON THEM. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EXTRACTED DATA WILL BE ACCURATE OR COMPLETE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INBOUND UNDERWRITING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY OUTPUT IT PRODUCES.
9. Termination
We may suspend or terminate access to the Service for breach of these Terms, non-payment, or at the end of a trial period. You may cancel a paid subscription at any time in accordance with your plan's terms.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing Law and Disputes
